LEGAL OFFICE

Company formation and legal services

We help you establish or acquire a company in Lithuania and change its legal form. For international clients, many procedures are handled under a power of attorney or through a notary.

Services

Company and branch formationUAB · MB · VšĮ · associations · branches

We prepare formation and registration documents and coordinate representation under a power of attorney or the notarial procedure. RC online formation is available where the chosen procedure supports your electronic identification and signature. We check the founder’s documents, signing method and translation requirements first.

Companies for saleReady-made companies or a UAB / MB to your requirements

Choose one of the available companies below or ask us to form a UAB or MB with your preferred name and capital or member contributions, then transfer its shares or membership rights to you. We agree the documents, transfer and signing arrangements before the transaction.

Changes to company particularsName · address · management · participants

We prepare resolutions and documents for changes to the company name, registered office, managing director, board of directors, constitutional documents and participants. We coordinate signing and updates to the relevant registers and participant records.

Change of legal formMB → UAB · UAB → MB · VšĮ → UAB / MB

We assess the proposed legal form, owners, assets, capital and creditor requirements. We prepare conversion documents and coordinate notarial and registry procedures. IĮ → MB / UAB and other conversions are assessed individually. VšĮ → MB is unavailable where the state or a municipality is an owner or participant.

Share capital changesIncrease or reduction

We prepare shareholder resolutions, amended articles of association and registration documents. We assess contribution evidence, valuation needs, legal limits and creditor protection for the chosen procedure.

Company liquidationFrom the initial decision to deregistration

We prepare the required resolutions and registry documents and coordinate the procedure using financial and tax information supplied by you and your accounting professional. The timetable depends on documents, creditors and the company’s position.

Other company mattersA clear plan for your situation

Describe the company issue and your intended result. We assess governance, participants’ rights, reorganisation or other document needs and agree the scope before starting.

We prepare an individual quote based on your circumstances, documents and signing requirements. The quote specifies our services, registry and notary fees, VAT treatment and any additional expenses.

UAB capital contributions are paid into the company’s capital contribution account separately from our service fee.

A UAB or MB to your requirements

We can establish a UAB or MB with your chosen name and agreed capital or member contributions, then transfer the UAB shares or MB membership rights to you. We provide an individual quote.

Signing and representation

We agree the suitable route before starting: an authorised representative, a notary or supported electronic signing. A signature alone does not guarantee access to every RC procedure.

Power of attorney and notarial services

Many procedures can be handled by an authorised representative or through a notary. We agree the scope and required form of the power of attorney before you sign it. For documents issued abroad, we check translation, Apostille or legalisation requirements and any applicable exceptions.

We coordinate documents remotely. Whether you can sign remotely or need to attend a notary is confirmed for your circumstances.

Online formation: e-resident card or eIDAS

The RC UAB formation guide provides foreign applicants with e-resident card and supported eIDAS identification routes. An e-resident card can be used to sign within the system. With a supported foreign qualified electronic signature, documents may need to be signed outside RC and uploaded as signed PDFs.

We check identification, signature compatibility and the chosen legal form separately; the UAB route is not automatically available for every other form.

Getting LT ID: personal code or ILTU

LT ID requires an identifier and matching data in Lithuania’s Population Register or Register of Foreigners. The rules allow a Lithuanian personal code or an ILTU foreigner identifier. Accepted identity documents include a passport, identity card, Lithuanian residence permit or right-of-residence certificate.

Ask RC to confirm eligibility and documents. Identity is checked in person, or remotely using an existing accepted qualified signature. Once issued, install the LT ID app and register your device.

Getting a USB electronic signature

RC’s published guidance for foreign applicants lists a Lithuanian temporary or permanent residence permit, a right-of-residence certificate, or a digital temporary residence permit. Confirm the currently accepted document and arrange identity verification with RC before applying.

Applying for a Lithuanian e-resident card

Start with the e-resident service in MIGRIS. Check eligibility and follow the application, identity-check and collection instructions. Applicants outside Lithuania may use designated external service providers where available.

The issued card contains identification and qualified signature certificates. Activate it in MIGRIS and use a card reader with the official software. E-resident status is a digital-service status, not a residence permit.

Login, signature issuance and document signing have different requirements. Smart-ID is not a signing option in the standard RC formation workflow; supported foreign-signature routes are checked separately.

What do the Lithuanian legal-form names mean?

UAB – private limited liability company. MB – limited-liability small partnership. VšĮ – non-profit institution. IĮ – an individual enterprise: a Lithuanian legal entity with unlimited civil liability. These are Lithuanian legal forms; we assess which suits your circumstances.

How long does formation take?

Usually around 2–5 working days, depending on the legal form, documents and registration. For a UAB, opening the capital contribution account and funding it can affect timing.

Can I order without a Lithuanian electronic signature?

Yes, we can assess representation under a power of attorney and a notarial route. You do not always need a Lithuanian-issued signature. The RC UAB guide also describes e-resident and eIDAS identification and signing foreign electronic documents outside the system. See the signing and representation routes.

How do I pay?

We provide payment details after agreeing the service and price. Invoice details are collected separately.
